1) Scope & Acceptance
These Terms apply to use of our website and to all quotations, orders, and services we provide (electrical & solar, civil/construction, AC, CCTV/security, fire systems, power lines, architecture/design, maintenance, and emergency call-outs). By using the site or placing an order, you agree to these Terms.
2) Definitions
- Client/you: the person or entity purchasing services.
- Works: all services, materials, and deliverables supplied by us.
- Site: your property/location where Works occur.
- Quote/Proposal: our written scope, pricing, and timeline (including BOQ where relevant).
- Variation: an agreed change to scope, quantities, brands, drawings, or timelines.
3) Website Use & Content
The website provides general information only. While we try to keep it current, specs and availability may change. We are not liable for reliance on general content. External links are provided for convenience; their terms apply. Do not misuse the site or infringe our IP.
4) Quotations, Orders & Validity
- Quotes are typically valid for 30 days unless stated otherwise and may be revised for material price changes, exchange rates, or regulatory updates.
- An order is formed when you accept our Quote in writing (email/PO/signature) and, if required, pay the deposit.
- Drawings, layouts, SLDs, and designs remain our IP until full payment.
5) Pricing, Deposits & Payment Terms
- Prices are in UGX (unless stated otherwise) and exclude taxes that will be added where applicable.
- Typical terms: [X%] deposit on award, progress payments against milestones, balance on completion.
- Invoices are due within [7/14] days. Late payments may attract [2%] per month interest and/or suspension of Works.
- For 24/7 emergency call-outs, after-hours rates and minimum call-out fees apply (we’ll confirm before dispatch).
6) Access, Permits & Site Readiness
- You must provide safe Site access, utilities, permissions, security, and accurate information.
- Where approvals/permits/wayleaves/utility coordination are required, we can assist, but responsibility to obtain them rests with the Client unless our Quote explicitly includes it.
- We may photograph/record the Site for planning, QA, and documentation. (See §17 Marketing Opt-Out.)
7) Delivery & Timelines
We aim to meet proposed schedules but dates are estimates. Timelines may shift due to weather, approvals, supply constraints, utility outages, or third-party delays. We will communicate changes promptly.
8) Variations & Change Control
Any change to scope/spec/brand/quantities, unforeseen conditions (e.g., hidden defects, rock excavation, non-compliant wiring), or Client requests will be documented as a Variation with cost/time impact. Variations must be approved in writing before we proceed.
9) Materials & Subcontracting
We use certified materials suited to the design. Brand substitutions of equal or higher performance may be made if supply issues arise. We may subcontract parts of the Works to qualified partners while remaining responsible for delivery.
10) Warranties & Defects Liability
- Workmanship warranty: [12] months from practical completion unless stated otherwise.
- Manufacturer warranties apply to equipment (panels, inverters, batteries, AC units, detectors, cameras, etc.).
- Defects liability: Report defects in writing; we will assess and rectify warranted issues within a reasonable time. Warranties do not cover misuse, unauthorised alterations, lack of maintenance, power quality issues, or force majeure.
11) Exclusions & Assumptions (typical)
Unless listed in the Quote: making good of unrelated existing defects; major building alterations; landlord/utility fees; permit fees; grid metering changes; network upgrades; asbestos/lead remediation; specialist scaffolding/cranes; stand-by generators/fuel; data cabling beyond CCTV needs; furniture moves; and after-hours works.
12) Risk, Title & Handover
Risk in materials passes on delivery to Site; title passes upon full payment. Handover includes relevant test/commissioning results, user guidance, and warranties as stated in the Quote.
13) Maintenance & After-Sales
We recommend preventive maintenance for electrical/solar, AC, fire, and security systems. Maintenance plans can be added at quoted rates. Lack of maintenance may void warranties.
14) Health, Safety & Environment
We operate with HSE procedures. You agree to maintain a safe Site (clear access, no live hazards). We dispose of waste responsibly and, where feasible, recycle components in line with environmental best practice.
15) Liability & Indemnity
To the maximum extent permitted by law:
- Our aggregate liability for any claim is limited to the contract value actually paid for the specific Works giving rise to the claim.
- We are not liable for indirect or consequential losses (lost profits, business interruption, data loss).
- You agree to indemnify us against claims arising from your breach of these Terms, unsafe Site conditions under your control, or misuse of the Works.
16) Force Majeure
Neither party is liable for delays/failure caused by events beyond reasonable control (e.g., extreme weather, strikes, epidemics, supply chain disruptions, utility failures, war). Time for performance is extended accordingly.
17) Confidentiality, IP & Marketing
- We keep your non-public information confidential except as needed to deliver the Works or as required by law.
- Our designs, drawings, and documentation remain our intellectual property unless transferred in writing.
- We may reference non-sensitive project details and photos in portfolios/case studies. Opt-out: email [privacy@yourdomain.com] with subject “Marketing Opt-Out” and your project details.
18) Data Protection
We process personal data in line with our Privacy Policy and the Uganda Data Protection and Privacy Act, 2019. See the Privacy Policy for your rights and choices.
19) Cancellation & Suspension
- If you cancel before mobilization, we may retain reasonable admin/design costs incurred.
- If you cancel after materials are procured or Works have started, you are responsible for materials, restocking (if possible), completed Works, and reasonable demobilization costs.
- We may suspend Works for unsafe conditions, non-payment, or breach; costs/time impacts will be treated as a Variation.
20) Dispute Resolution
If a dispute arises, parties shall first negotiate in good faith. If unresolved within 14 days, either party may propose mediation in Uganda. If still unresolved, the courts of Uganda shall have jurisdiction. Governing law: Laws of Uganda.
21) Notices
Official notices must be sent by email to the addresses in the Quote/contract (or updated in writing) and are deemed received on business days when the sender receives delivery confirmation.
22) Amendments, Severability & Entire Agreement
We may update these Terms on our website; the version effective at contracting applies to your order. If any clause is invalid, the remainder stays effective. These Terms plus our Quote/Proposal constitute the entire agreement and supersede prior discussions.
Service-Specific Notes (Summaries)
- Electrical & Solar: includes SLDs, earthing/SPD, and safe changeover as specified; grid interconnection rules are policy-dependent.
- AC Systems: sized per heat-load; quarterly/annual service recommended.
- CCTV/Security: remote access configured for the Client; passwords are handed over to the Client (Client responsible for safekeeping).
- Fire Systems: designed to applicable codes; periodic drills/inspections recommended; extinguishers refills are a consumable.
- Power Lines (LV/HV): subject to utility approvals/wayleaves; energization dates depend on utility programming.
- Architecture/Design: deliverables per proposal (drawings/3D/BOQs); coordination with authorities/contractors per scope.
